NDAs are important tools used by many employers to protect company information. But are they legally valid? If you are an employee and have been asked to sign an NDA, it is important to understand whether the document is enforceable in New Jersey. What is an NDA?

An NDA, or nondisclosure agreement, is a legally binding contract that establishes a confidential relationship between two or more parties. It is a common tool used by celebrities, high-profile individuals, businesses, legal matters, employment contracts, and more.

When an employee is asked to sign a nondisclosure agreement, it is to protect sensitive company information and trade secrets. The document generally prevents employees from exposing confidential information during or after their employment with the company, accepting a job with a competitor immediately after leaving the company, or working in a similar position in the same city for a time.

Is an Employment NDA Enforceable in NJ?

NDAs are generally enforceable in New Jersey, given that they meet the criteria set by law. For an NDA to be considered enforceable, it must have a reasonable scope regarding the information it covers and the duration of the signer’s restriction. The document must specify what exactly constitutes confidential information; it cannot be broad.

The NDA must also protect a legitimate interest of the business. Employers can protect trade secrets and proprietary information, but they cannot attempt to use the NDA to prevent the employee from sharing information that they learned through other experiences or general industry knowledge. It is also important that the document uses clear and specific language to ensure enforceability and avoid misunderstandings.

Of course, the nondiscolusure agreement must be entered into voluntarily by both parties. Both the employee and employer should have a clear understanding of the terms and agree to them before signing to validate the agreement.

When is an NDA Not Enforceable?

Although NDAs are generally enforceable, there are some circumstances in which an NJ court may determine that the document is not valid or enforceable. Some reasons include the following.

  • Unreasonable restrictions like stipulating that the employee cannot work in the same industry or accept a similar position anywhere in the country, or for an extended period of time
  • Use of overtly broad or deceptive language
  • Overly restrictive noncompete clause
  • Attempt to cover illegal activities, prevent whistleblowing, or otherwise go against public policy
  • The employee was coerced or deceived into signing the agreement
  • The NDA covered general knowledge or skills that are not truly trade secrets

There are many reasons why a nondisclosure agreement may be deemed unenforceable in New Jersey. Before signing anything, it is crucial that you fully understand the terms of the NDA and what it means for you and your future.
